By accessing and using the services, website, and products provided by Myrvos Automation Ltd ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to abide by the above, please do not use this service. Myrvos Automation Ltd reserves the right to update or modify these terms at any time without prior notice. Your continued use of the service following the posting of revised Terms of Service means that you accept and agree to the changes.
Myrvos Automation Ltd provides robotics integration, industrial automation, and manufacturing process optimization services to clients throughout Western Canada. Our services include system design, implementation, programming, training, and ongoing technical support. Service scope and deliverables are detailed in individual service agreements and project specifications.
All content on our website, including text, graphics, logos, images, software code, and other materials, are the property of Myrvos Automation Ltd or licensed to us. You may not reproduce, distribute, transmit, or display any content without our prior written permission.
Custom automation systems, software, and designs created specifically for your business remain subject to intellectual property protections as outlined in your service agreement. You receive a license to use such systems for your internal business operations only.
To the fullest extent permitted by law, Myrvos Automation Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for lost profits, loss of revenue, loss of data, or business interruption, even if we have been advised of the possibility of such damages.
Our total liability for any claims arising from or related to these terms shall not exceed the amount paid by you in the 12 months preceding the claim. Some jurisdictions do not allow limitation of liability, so this limitation may not apply to you.
Myrvos Automation Ltd provides services and products on an "as-is" and "as-available" basis. We make no warranties, expressed or implied, regarding the services or products, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that services will be uninterrupted, error-free, or free from viruses or other harmful code.
You agree to indemnify, defend, and hold harmless Myrvos Automation Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising out of or related to your use of our services, your violation of these terms, or your infringement of any third-party rights.
Payment terms for services are specified in individual project agreements and invoices. Unless otherwise specified, payment is due within 30 days of invoice. Late payments may incur interest at the rate of 1.5% per month or the maximum allowable by law, whichever is lower.
We reserve the right to suspend services if payment becomes overdue and to pursue all available legal remedies for collection of outstanding amounts.
Both parties agree to maintain the confidentiality of proprietary information shared during the course of business. This includes specifications, designs, software code, client data, and business processes. Confidential information may not be disclosed to third parties without written consent, except as required by law or court order. Confidentiality obligations survive termination of the service agreement.
Either party may terminate services with written notice as specified in the applicable service agreement. Upon termination, you remain responsible for payment of all services rendered to date. Myrvos Automation Ltd may terminate immediately if you breach material terms and fail to cure the breach within 30 days of written notice.
Sections regarding Intellectual Property Rights, Confidentiality, Limitation of Liability, and Indemnification shall survive termination.
Your use of our services is also governed by our Privacy Policy. We collect and process personal data in compliance with applicable Canadian privacy laws and where applicable, the Personal Information Protection and Electronic Documents Act (PIPEDA). These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to conflicts of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Calgary, Alberta, Canada.
Prior to initiating litigation, both parties agree to attempt resolution through good-faith negotiation. If negotiation fails, disputes may be subject to mediation or arbitration as specified in your service agreement.
Any legal action or proceeding must be commenced within one year of the cause of action arising, or it shall be barred.
You agree not to: (a) use services for unlawful purposes or in violation of any applicable laws; (b) reproduce, duplicate, or copy materials for commercial purposes; (c) remove or alter proprietary notices or labels; (d) interfere with the operation of our systems or networks; (e) attempt to gain unauthorized access to our services; (f) use automated systems to extract data without permission; or (g) resell or redistribute services without authorization.
Our website may contain links to third-party websites. We are not responsible for the content, accuracy, or practices of external sites. Your use of third-party websites is subject to their terms and policies. We encourage you to review the terms before providing any information to external sites.
Myrvos Automation Ltd reserves the right to modify, suspend, or discontinue services at any time with reasonable notice. We shall not be liable for any modification, suspension, or discontinuation of services. We also reserve the right to interrupt services for maintenance, updates, or security purposes.
If any provision of these Terms of Service is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect.
These Terms of Service, together with our Privacy Policy and any individual service agreements, constitute the entire agreement between you and Myrvos Automation Ltd regarding the use of our services. These terms supersede all prior agreements, understandings, and communications, whether written or oral.
